Entitlement to Use Services: Subject to compliance with this Agreement, Serbisio grants Subscriber a limited, non-exclusive, non-transferable, non-sublicensable right during the Subscription Term to utilize the Services solely for internal business operations. Subscriber consents to Serbisio accessing Subscriber’s Account as needed to provide the Services and related support.

Protection Against Unauthorized Usage: Subscriber shall endeavor to prevent unauthorized use of the Services and promptly notify Serbisio in writing of any such unauthorized usage detected. If unauthorized usage occurs through Subscriber, Subscriber agrees to take reasonable steps to cease such usage. Subscriber will cooperate with Serbisio in preventing or terminating unauthorized usage. Subscriber acknowledges Serbisio’s non-responsibility for damages, losses, or liability that could have prevented if implemented by Subscriber or its users.

Authorized Users: Subscriber manages access to its Account, all Account activity, and all Subscriber Data posted or transmitted via the Services by its Authorized Users. Each Authorized User must have a unique email and password, not to be shared. Subscriber ensures necessary permissions for Authorized Users' access, acknowledges their usage on its behalf, is responsible for their compliance with this Agreement, and remains accountable for actions taken via its Account.

Usage Restrictions: Subscriber must adhere to the terms herein.

Compliance with Laws: Subscriber agrees to use the Services in compliance with all applicable laws and regulations.

Right to Suspend Services: Serbisio may suspend Subscriber’s Service usage if necessary to prevent unauthorized use or ongoing violation of laws/regulations. Commercially reasonable efforts will be made to notify Subscriber prior to suspension. Failure to pay fees may result in suspension until payment is received.

Intellectual Property Rights: Except for the limited rights granted herein, Serbisio retains all rights, including Intellectual Property Rights, in the Services. Subscriber owns all right, title, and interest in Subscriber Data and is responsible for its legality, reliability, and quality.

Fees: Subscriber agrees to pay Serbisio the fees on the selected plan. Should Subscriber request additional Services or modify existing ones during a Subscription Term, the following applies: (a) Additional or modified services will be charged at the price specified in the plan; (b) The commencement date for additional or modified Services will be as listed in a new or amended plan. Any fee changes will be reflected in future invoices. Fees are non-refundable. There are no refunds or credits for partial months, plan downgrades, or unused time if Subscriber closes its Account before the end of a Subscription Term.

Taxes: Subscriber is accountable for any applicable Taxes arising from the purchase or utilization of the Services. Taxes will not be subtracted from or offset against the fees specified in the plan or invoice.
